Terms & Conditions

A. Payment Terms

  • Fixed pricing payments are due as follows: [e.g., Initial consultations paid at time of services provided, other services... 50% upfront, 25% at midpoint, 25% upon completion].
  • Success-based fees are calculated quarterly and invoiced based on measurable financial impact.
  • Late payments beyond 15 days may be subject to an 18% late fee per month. ACH is our preferred payment method. Checks that bounce will incur a $250 penalty fee.


Refunds & Cancellations

  • Payments made for consulting services are non-refundable, except in cases where Clyce Advisory Group, LLC is unable to fulfill contracted obligations.
  • Cancellations by the client must be submitted in writing. Any services rendered before cancellation remain payable and due.


B. Scope of Services & Modifications

  • Services provided by Clyce Advisory Group, LLC are outlined in the agreed proposal or service agreement. Any modifications or additional work requests beyond the initial scope must be mutually agreed upon and may be subject to additional fees.
  • Clyce Advisory Group, LLC reserves the right to decline modifications that significantly alter the scope of services without a formal amendment to the agreement.


C. Client Acknowledgement & Limitation of Liability

  • Clyce Advisory Group, LLC provides business consulting services based on expertise and analysis. Final decisions on implementation rest solely with the client, and Clyce Advisory Group, LLC shall not be held responsible for the outcomes of any business decisions made by the client.
  • The client acknowledges and agrees that any strategic recommendations, financial projections, or efficiency improvement plans provided are for informational and advisory purposes only and do not constitute legal, financial, tax, or investment advice.
  • Clyce Advisory Group, LLC makes no guarantees regarding specific financial outcomes, revenue increases, cost reductions, or business growth.


D. Indemnification

  • The client agrees to indemnify, defend, and hold harmless Clyce Advisory Group, LLC from any claims, damages, liabilities, costs, and expenses (including attorneys' fees) arising out of:
  • The client’s use or implementation of consulting recommendations.
  • Any third-party disputes or claims related to the client’s business operations.
  • Any breach of contract or failure to adhere to agreed-upon terms.


E. Arbitration Agreement & Dispute Resolution

  • Any disputes shall be resolved exclusively through binding arbitration in Alabama.
  • Arbitration shall be conducted in accordance with the American Arbitration Association (AAA) rules.
  • The client waives the right to file a lawsuit and agrees that arbitration shall be the sole means of dispute resolution.


F. Confidentiality

  • Both parties agree to maintain the confidentiality of all non-public business information exchanged during the engagement.


G. Governing Law

  • This agreement shall be governed by the laws of the State of Alabama.


H. Termination of Agreement

  • Either party may terminate this agreement with [e.g., 30 days' written notice]. Any services provided up to the termination date are non-refundable and will be invoiced accordingly.
  • Clyce Advisory Group, LLC reserves the right to terminate this agreement immediately in the event of non-payment, unethical behavior, or a breach of confidentiality.


I. Force Majeure

  • Clyce Advisory Group, LLC shall not be liable for any failure or delay in performing its obligations under this agreement due to unforeseen circumstances beyond its reasonable control, including but not limited to natural disasters, government restrictions, pandemics, cyber-attacks, or supply chain disruptions.


J. Entire Agreement & Severability

  • Any agreement constitutes the entire agreement between the parties. If any provision is found to be unenforceable, the remaining provisions shall remain in full force and effect.
